Member Terms of Service

Version 1.0 POC · Effective 2026-04-22 · Governed by the laws of the Province of Ontario, Canada · Available to residents of Canada, including Quebec
POC scope notice. These Terms apply only to the Velta Proof of Concept (Canada, including Quebec). Quebec-specific statutory requirements applicable to these Terms have not been verified by bilingual counsel; see the scope notice in the POC Legal Document Library.

These Terms form a legal agreement between you and Velta, a sole proprietorship of Cristiane Aparecida de Amorim Miranda registered in the Province of Ontario, Canada, operating from 213 Pineglen Crescent, Kitchener, Ontario, Canada N2R 0G2 (“Velta,” “we,” “us,” or “our”), operating the website velta.fit and related applications (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Key things to know (summary — not a substitute for the full Terms)

2. Eligibility and Account

2.1 Age

You represent that you are at least 18 years old and have full legal capacity to enter into these Terms. Velta does not knowingly serve users under 18.

2.2 Province of residence

The Velta Proof of Concept is available to residents of Canada, including residents of the Province of Quebec. By creating an account, you agree to provide your province of residence accurately at signup and at checkout. The geographic restriction that previously excluded Quebec residents has been retired: Velta no longer refuses registration, suspends accounts, or closes accounts on the basis of residence in Quebec, and the signup province check and postal-code validation have been removed. Quebec-specific statutory requirements applicable to these Terms have not been verified by bilingual counsel, and nothing in these Terms is a representation that those requirements have been satisfied.

2.3 Account accuracy

You agree to provide accurate, current, and complete information (including your province of residence) and to keep it updated. You are responsible for all activity under your account and for maintaining the security of your credentials. Notify us immediately at support@velta.fit if you suspect unauthorised access.

2.4 One account

You may hold only one active Member account. Velta may suspend or terminate duplicate accounts.

3. Nature of the Service — Marketplace model

Velta operates a two-sided marketplace connecting members with independent fitness coaches. We provide the tools and infrastructure (matching, messaging, workout delivery, video upload, progress tracking) and facilitate payment. We do not provide coaching services ourselves, we do not supervise coaches in real time, and we are not responsible for advice, programs, or feedback delivered by coaches.

Coaches set their own methods, schedules, and guidance. Velta makes reasonable efforts to ensure Coaches meet marketplace standards but does not independently verify certifications and makes no representation about a Coach's skill, qualifications, or suitability for you. Your decision to engage any Coach is your own.

4. Subscription, Free Trial, and Auto-Renewal

4.1 Subscription term

Paid subscriptions are month-to-month. Each billing period begins on the date of your first paid charge and renews automatically on the same day of each subsequent month.

4.2 Pricing — per-coach tier

Coaches select a pricing tier. The price you pay depends on the tier of the Coach you subscribe to. The applicable CAD price, billing frequency, and renewal terms are disclosed clearly at checkout before you confirm the subscription.

4.3 Free trial

New members receive a 7-day free trial of their first Coach subscription. The trial begins when you first activate a Coach subscription. If you do not cancel before the end of the trial, your trial will automatically convert to a paid subscription at the then-current tier rate disclosed at checkout.

4.4 Express consent to auto-renewal

By completing checkout, you expressly authorise Velta (through its payment processor, Stripe) to charge your selected payment method at the tier price disclosed, on each renewal date, until you cancel.

4.5 How to cancel

You may cancel at any time from Account Settings → Subscription → Cancel, or by writing to support@velta.fit with "Cancel" in the subject line. Cancellation takes effect at the end of the current billing period. You retain access until that date.

4.6 Renewal reminders

We will email you a reminder at least 24 hours before your free trial converts to a paid subscription.

5. Fees, Taxes, and Payment

5.1 Pricing changes

Prices may change on renewal; we will give at least 30 days' written notice of any price increase.

5.2 Taxes

Prices displayed at checkout indicate whether applicable sales tax (GST/HST) is included. Coaches are independent businesses and are responsible for remitting their own taxes on the portion of subscription revenue paid to them through Stripe Connect.

5.3 Payment processor

Payments are processed by Stripe Payments Canada, Ltd. and/or Stripe, Inc. Your payment information is collected and handled by Stripe pursuant to Stripe's terms and privacy policy. Velta does not store full payment card details.

5.4 Failed payments

If a payment fails, we may retry the charge and suspend access until payment is successful.

6. Refund Policy

All payments are final and non-refundable once charged, except where non-refundability is prohibited by applicable law. Cancelling stops future renewals but does not entitle you to a refund of amounts already paid. The full Refund & Cancellation Policy is incorporated by reference. Nothing in this Section 6 limits any statutory cancellation rights you may have under Ontario's Consumer Protection Act, 2002 or equivalent legislation in your province of residence, including Quebec.

7. Health, Safety, and Assumption of Risk

7.1 Medical disclaimer

Velta and its Coaches do not provide medical advice, diagnosis, or treatment. Content on the Platform is for general informational and training purposes only. Always consult a qualified healthcare professional before starting, changing, or discontinuing any exercise programme, particularly if you have a medical condition or take medication.

7.2 PAR-Q+ and pre-activity screening

You must complete the Physical Activity Readiness Questionnaire (PAR-Q+) during onboarding and before starting any programme. If any of your responses indicate a health risk, you must consult a physician before proceeding. The separate Medical Disclaimer, PAR-Q+ & Waiver forms part of these Terms.

7.3 Assumption of risk

You acknowledge that exercise, strength training, and physical activity carry inherent risks including muscle strain, joint injury, cardiovascular events, and, in rare cases, death. You voluntarily assume those risks when using the Platform and when following any programme, exercise, or advice delivered through it.

7.4 Stop if you feel unwell

Stop immediately and seek medical attention if you feel pain, dizziness, faintness, chest discomfort, or any symptom out of the ordinary during or after exercise.

8. Member Content

8.1 You own your content

You retain ownership of any content you upload to the Platform, including exercise videos, progress photos, body measurements, and chat messages (“Member Content”).

8.2 Licence you grant to Velta

You grant Velta a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and create technical copies of your Member Content solely to operate, maintain, and improve the Platform and deliver the Service to you and your Coach. This licence ends when you delete the content or close your account, subject to our retention obligations described in the Privacy Policy.

8.3 Marketing use requires separate consent

Velta will never use your videos, photos, or likeness in marketing materials without your express, separate, written consent.

8.4 No AI processing during POC

During the Proof of Concept, Velta does not use automated systems or machine-learning models to analyse your Member Content. If we introduce such processing in the future, we will update these Terms and the Privacy Policy and obtain your express opt-in before any automated analysis of your content.

9. Prohibited Conduct

You agree that you will not:

Further detail is in our Acceptable Use Policy, which forms part of these Terms.

10. Suspension and Termination

10.1 By you

You may terminate this agreement at any time by cancelling your subscription and deleting your account.

10.2 By Velta

We may suspend or terminate your account, with or without notice, for: (a) breach of these Terms; (b) unlawful conduct; (c) non-payment; (d) conduct that harms other members, Coaches, or the Platform; (e) prolonged inactivity; or (f) legal or regulatory requirement.

10.3 Effect of termination

Sections that by their nature should survive (ownership, licence, disclaimers, limitation of liability, indemnification, dispute resolution) survive termination.

11. Intellectual Property — Platform

Velta, the Velta logo, and the Platform (including software, design, databases, and content created by Velta) are owned by Velta and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes during your subscription.

12. No Off-Platform Circumvention (Member Side)

To protect the integrity of the marketplace, you agree that, for 12 months after your subscription to a Coach ends, you will not knowingly engage that Coach for paid fitness coaching services outside the Platform where you were introduced to that Coach through Velta. This does not apply if you had an active coaching relationship with that Coach before you signed up for Velta.

13. Disclaimers

To the maximum extent permitted by law, the Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure. No advice or information obtained by you from Velta or any Coach creates any warranty not expressly stated in these Terms.

14. Limitation of Liability

To the maximum extent permitted by law, in no event will Velta, its proprietor, staff, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform, even if advised of the possibility of such damages.

In any event, Velta's aggregate liability to you for all claims arising from or relating to these Terms or the Platform is limited to the total amounts you paid to Velta in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Velta from any third-party claim, loss, liability, damage, or expense (including reasonable legal fees) arising from (a) your use of the Platform, (b) your Member Content, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

16. Dispute Resolution

16.1 Informal resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@velta.fit (subject line "Legal"). We will attempt in good faith to resolve your concern within 30 days.

16.2 Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, excluding conflict-of-law rules. Subject to Section 16.3, you and Velta submit to the exclusive jurisdiction of the courts of Ontario.

16.3 Your mandatory rights

Nothing in this Section 16 deprives you of any non-waivable rights you may have as a consumer under the laws of your Canadian province of residence, including Quebec, and including the right to bring a claim in your local courts where those laws require.

16.4 Class-action waiver

To the extent permitted by law, you agree that any dispute will be resolved on an individual basis and not as part of a class, collective, or representative action.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance by email and through a Platform notice. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform.

18. General

Entire agreement
These Terms, together with the documents referenced herein, constitute the entire agreement between you and Velta.
Severability
If any provision is held invalid, the rest remains in effect.
Assignment
You may not assign these Terms. We may assign without restriction, including in connection with a future incorporation of the Velta business.
No waiver
No failure by Velta to exercise a right is a waiver of that right.
Notices
Notices to you may be given by email or in-Platform notice. Notices to Velta must be sent to support@velta.fit.
